Candidate Intelligence Services Terms and Conditions
Version 1.0 / Effective Date: 15 June 2026These Candidate Intelligence Services Terms and Conditions ("CI Terms") govern the use of Candidate Intelligence Services provided by TieTalent SA and its affiliates ("TieTalent", "we", "our" or "us").
These CI Terms supplement and form an integral part of TieTalent's General Terms and Conditions, Privacy Policy and any applicable commercial agreement entered into between TieTalent and a Customer. In the event of any conflict between these CI Terms and the General Terms and Conditions, these CI Terms shall prevail with respect to Candidate Intelligence Services.

Definitions

Candidate Intelligence Services: Candidate Intelligence Services means the software, web applications, browser extensions, APIs, integrations, analytical tools, artificial intelligence systems and related services made available by TieTalent for the purpose of generating candidate-related insights and contextual information.

Customer: Customer means any company, employer, organisation or other legal entity using Candidate Intelligence Services.

Candidate: Candidate means any natural person whose information is analysed, processed or assessed through Candidate Intelligence Services.

AI Output: AI Output means any information, summary, analytical observation, insight, interview topic, confidence indicator, contextual finding, report, explanation or other content generated in whole or in part through artificial intelligence models used by TieTalent.

API: API means any application programming interface provided by TieTalent to access Candidate Intelligence Services.

Browser Extension: Browser Extension means any browser plugin, extension or add-on made available by TieTalent, including the Candidate Intelligence Chrome Extension and any successor products.

Purpose of the Services

Candidate Intelligence Services are designed to assist recruitment professionals, hiring managers and employers by providing additional contextual information regarding candidates.

The Services are intended solely as decision-support tools.

The Services do not replace human judgment and are not intended to make employment decisions on behalf of Customers.

Customers remain solely responsible for all recruitment, employment, promotion, compensation, interview and hiring decisions.

Nature of AI Outputs

Candidate Intelligence Services use artificial intelligence technologies to generate outputs.

Customers acknowledge that:
- AI Outputs are probabilistic in nature;
- AI Outputs may contain inaccuracies, omissions or outdated information;
- AI Outputs may be incomplete;
- AI Outputs may not identify all relevant information;
- AI Outputs may occasionally contain incorrect interpretations or associations.

TieTalent does not guarantee the accuracy, completeness, reliability or suitability of any AI Output.

Customers shall independently verify information before relying on any AI Output.

No Candidate Scoring or Employment Decisions

Unless expressly agreed otherwise in writing:
- Candidate Intelligence Services are not intended to rank candidates;
- Candidate Intelligence Services are not intended to automatically select candidates;
- Candidate Intelligence Services are not intended to automatically reject candidates;
- Candidate Intelligence Services are not intended to make employment recommendations.

Any insights generated by the Services are informational only.

Customers remain solely responsible for evaluating candidates and making employment-related decisions.

Human Oversight

Customers shall ensure that qualified human personnel review relevant information before making employment decisions.

Customers shall not rely exclusively on AI Outputs when making decisions that may materially affect Candidates.

Customers are solely responsible for complying with applicable employment, anti-discrimination and labour laws.

Candidate Information and Data Sources

Candidate Intelligence Services may process information originating from:
- information submitted by Customers;
- information submitted by Candidates;
- publicly available information;
- third-party data sources lawfully accessible to TieTalent;
- information obtained through integrations authorised by the Customer.

Availability and quality of information may vary significantly between Candidates.

TieTalent does not guarantee the availability of information for any particular Candidate.

Identity Matching
-
Candidate Intelligence Services may attempt to associate information with a particular individual using automated matching technologies.
-
Customers acknowledge that:
- individuals may share similar names;
- online identities may be incomplete or fragmented;
- automated matching processes may occasionally associate information with the wrong individual.

Customers are solely responsible for verifying information before relying upon it.
-
TieTalent shall not be liable for decisions based upon incorrect identity matching.

Customer Responsibilities

Customers represent and warrant that:
- they have a lawful basis to process candidate information;
- they have obtained any permissions required under applicable law;
- their use of the Services complies with all applicable laws and regulations;
- they will not use the Services for unlawful discrimination;
- they will maintain appropriate human oversight over employment decisions.

Customers are solely responsible for compliance with employment, privacy and data protection laws applicable to their activities.

Browser Extension
-
TieTalent grants Customers a limited, non-exclusive, non-transferable and revocable right to use the Browser Extension for internal business purposes.

Customers shall not:
- reverse engineer the Browser Extension;
- modify the Browser Extension;
- distribute the Browser Extension;
- create derivative works based upon the Browser Extension;
- use the Browser Extension in violation of applicable law.

TieTalent may update, modify, suspend or discontinue the Browser Extension at any time.

API Services

Subject to payment of applicable fees, TieTalent grants Customers a limited right to access and use the APIs.

Customers shall not:
- reverse engineer APIs;
- circumvent technical restrictions;
- exceed authorised rate limits;
- resell API access;
- build competing services using API Outputs;
- use APIs for unlawful purposes.

TieTalent may impose rate limits, usage restrictions and quotas.

TieTalent does not guarantee uninterrupted API availability.

Subscription Plans, Credits and Usage

Candidate Intelligence Services may be provided through:
- subscriptions;
- credit-based plans;
- API usage plans;
- enterprise agreements;
- pilot programmes.

Unless otherwise specified in writing:
- all fees are non-refundable;
- unused credits are non-refundable;
- subscription fees are non-refundable.

TieTalent reserves the right to modify pricing, packaging and usage limits upon reasonable notice.

Intellectual Property
-
TieTalent retains all intellectual property rights relating to:
- Candidate Intelligence Services;
- software;
- APIs;
- Browser Extensions;
- algorithms;
- AI systems;
- reports;
- documentation.

Subject to payment of applicable fees, Customers may use AI Outputs internally for recruitment and hiring purposes.

Customers shall not:
- resell AI Outputs;
- build competing databases using AI Outputs;
- train competing artificial intelligence systems using AI Outputs;
- commercially exploit AI Outputs except as expressly permitted by TieTalent.

Regulatory Compliance

Customers acknowledge that their use of Candidate Intelligence Services may be subject to:
- employment laws;
- anti-discrimination laws;
- privacy regulations;
- data protection regulations;
- artificial intelligence regulations;
- sector-specific regulations.

Customers remain solely responsible for ensuring compliance with all applicable laws.

Artificial Intelligence Transparency

Customers acknowledge that Candidate Intelligence Services use artificial intelligence technologies.

Where required by applicable law, Customers shall:
- provide appropriate notices to Candidates;
- comply with transparency obligations;
- maintain human oversight;
- comply with any legal obligations relating to artificial intelligence systems.

TieTalent does not assume responsibility for legal obligations imposed directly upon Customers under applicable law.

Availability of Services
-
TieTalent may modify, update, suspend or discontinue all or part of Candidate Intelligence Services at any time.

TieTalent does not guarantee uninterrupted access to the Services.
-
Temporary interruptions may occur for maintenance, upgrades, security measures or circumstances outside TieTalent's control.

Disclaimer of Warranties

To the maximum extent permitted by law, Candidate Intelligence Services are provided on an "as is" and "as available" basis.

TieTalent expressly disclaims all warranties, including:
- accuracy;
- completeness;
- merchantability;
- fitness for a particular purpose;
- non-infringement.

No AI Output shall constitute a guarantee regarding any Candidate.
-

Limitation of Liability

TieTalent shall not be liable for:
- hiring decisions;
- rejection decisions;
- promotion decisions;
- compensation decisions;
- employment decisions;
- discrimination claims;
- regulatory investigations;
- employment disputes;
- indirect damages;
- consequential damages;
- loss of profit;
- loss of business opportunity.

To the maximum extent permitted by law, TieTalent's aggregate liability relating to Candidate Intelligence Services shall not exceed the total fees paid by the Customer for Candidate Intelligence Services during the twelve (12) months preceding the event giving rise to the claim.

Termination

TieTalent may suspend or terminate access to Candidate Intelligence Services at any time if:
- the Customer breaches these CI Terms;
- the Customer violates applicable law;
- continued provision of the Services presents legal, security or operational risks.

Upon termination, access to Candidate Intelligence Services may be disabled immediately.

Governing Law and Jurisdiction

These Candidate Intelligence Services Terms shall be governed by Swiss law.

Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Lausanne, Switzerland.

Amendments
-
TieTalent may amend these Candidate Intelligence Services Terms at any time.

Updated versions shall be published on the TieTalent website.

Continued use of Candidate Intelligence Services following publication of updated terms constitutes acceptance of the revised version.
