Corporate Solicitor

Location: Hybrid in Co. Kildare, Ireland

An established and growing organisation is seeking a Corporate & Joint Venture Solicitor to support the Head of Legal and play a key role in delivering the organisation’s growth strategy.

The successful candidate will provide legal support across the formation, governance, operation and restructuring of joint ventures and strategic partnerships, while advising on corporate transactions, including partnerships, mergers and acquisitions, and other strategic collaborations.

This role involves working closely with business, finance, tax and regulatory teams, as well as external counsel, to structure and implement joint ventures aligned with corporate strategy, manage legal risk and support project development. The position also includes providing broader corporate legal advice and negotiating complex commercial agreements to support the organisation’s commercial and strategic objectives.

• Support the Head of Legal in providing legal advice on business development initiatives, including joint ventures, partnerships, mergers and acquisitions, and other strategic collaborations.
• Work with business development teams to assess market trends, regulatory developments and competitive dynamics to identify opportunities and mitigate potential risks.
• Provide advice on corporate governance requirements, assist with approvals processes and draft governance documentation where required.
• Draft, review and negotiate a wide range of commercial and corporate agreements, ensuring alignment with strategic objectives and compliance with applicable laws.
• Provide legal support in the negotiation of key commercial agreements including NDAs, MOUs/term sheets, collaboration agreements, power purchase agreements, shareholder agreements and joint venture agreements.
• Advise on joint venture structures, governance models and deal strategy, including competition law considerations where relevant.
• Work proactively with internal stakeholders to identify legal risks and develop practical solutions to support project delivery.
• Manage and coordinate external legal advisers on specialist matters and support the delivery of complex transactions.
• Collaborate with colleagues across the legal team to ensure consistency of approach and knowledge sharing across the organisation.
• Support the organisation’s commitment to health, safety and performance management processes.

• Qualified Solicitor or Barrister in Ireland with a minimum of 6 years’ post-qualification experience (gained in a mid- or top-tier law firm and/or in-house).
• Demonstrated experience supporting project development, joint ventures and M&A transactions.
• Strong understanding of corporate structuring, governance frameworks and regulatory compliance.
• Familiarity with tax, finance and accounting considerations relevant to joint venture structures.
• Experience within energy, infrastructure or large capital projects would be advantageous.
• Strong stakeholder management skills and the ability to deliver commercially focused legal advice. xcfaprz
• Excellent organisational skills and proficiency with MS Office and legal case management systems.
