Overview

Our client, an established renewable energy group, are seeking an experienced legal professional to support strategic business development initiatives across the organisation. Working closely with the Head of Legal and Head of Governance, you will play a key role in advising on joint ventures, partnerships, mergers and acquisitions, and other commercial collaborations.

Responsibilities
  • Provide legal advice on strategic business development projects, including JVs, partnerships and M&A transactions.
  • Draft, review and negotiate commercial agreements, including NDAs, MOUs/term sheets, collaboration agreements, power purchase agreements, shareholder agreements and joint venture agreements.
  • Advise on joint venture structures, deal strategy and competition considerations.
  • Partner with business development teams to assess opportunities, market trends and regulatory developments.
  • Ensure corporate governance requirements and approval processes are met and reflected in agreements.
  • Manage external counsel and coordinate with internal stakeholders to deliver projects and transactions on time.
  • Collaborate with legal colleagues across the organisation to maintain a consistent and commercially focused legal approach.
  • Support the company’s health, safety and wellbeing commitments and contribute to team performance objectives.
Qualifications
  • Qualified Solicitor or Barrister in Ireland with 6+ years’ post-qualification experience (mid/top tier firm and/or in-house).
  • Experience supporting project development, joint ventures and M&A transactions.
  • Strong knowledge of corporate structuring, governance and regulatory compliance.
  • Understanding of tax, finance and accounting considerations in JV structures.
  • Experience in energy, infrastructure or large capital projects is advantageous.
  • Proven ability to manage stakeholders, lead legal workstreams and deliver commercially focused advice.
  • Strong organisational skills and proficiency in MS Office (experience with legal case management systems desirable).
