ISS STOXX is seeking a Research Analyst to join our Corporate Governance team in Toronto, with a specialized focus on M&A transactions and related governance issues. This role offers a unique opportunity to be part of a leading Corporate Governance Research team, with strong potential for advancement into senior research or leadership positions within a dynamic, growing organization.
Responsibilities:
- Conduct both basic and advanced governance research for annual and special shareholder meetings, ensuring timely delivery in line with client SLAs.
- Evaluate financial and corporate governance information and issue proxy voting recommendations based on ISS' Canadian market policies.
- Address internal and external inquiries related to M&A issues, research reports, and voting recommendations; articulate governance principles and policy considerations as needed.
- Produce market‑specific and client‑requested reports and contribute to policy‑related projects.
- Participate in team initiatives, conducting research to support policy development and training analysts on M&A matters.
- Maintain reference materials and datasets on Canadian M&A transactions.
- Identify opportunities to enhance the department's research capabilities and service offerings.
- Demonstrate strong subject‑matter understanding of shareholder rights, corporate governance practices, and the Canadian M&A landscape through rigorous research and issuer/investor engagement.
- Support sales and account management teams to strengthen the overall client experience.
- Monitor and help ensure compliance with regional SAS‑70 audit requirements.
- Collaborate with Corporate Technology on the development, testing, and improvement of applications supporting clients and research workflows.
- Identify and recommend process improvements and help develop standards for analyzing Canadian M&A transactions.
- Contribute to internal committees, working groups, and project teams.
- Review and provide quality assurance on research produced by fellow analysts.
Qualifications
- Bachelor's degree in Finance, Economics, Business, or a related field.
- Direct M&A experience required, with at least 2 years of full‑time financial analysis experience, or 3-7 years in corporate governance, investment analysis, or research.
- Strong understanding of corporate governance, corporate transactions, capital markets, corporate law, and/or securities regulation.
- Excellent time‑management skills and the ability to balance competing priorities.
- Ability to work collaboratively with colleagues and clients across various levels and functions.
- Exceptional writing, research, and proofreading skills, with strong attention to detail and clear communication abilities.
- Solid understanding of business technology; experience working with tech in an operational setting is strongly preferred.
- High computer literacy, including strong MS Office skills and Bloomberg proficiency; SQL knowledge is an asset.
Compensation: The annualized expected compensation range for this role based in Toronto, ON is $80,000 - $105,000 CAD. The compensation range indicated for this role consists of a base salary and eligibility for an annual discretionary bonus. Bonuses are awarded at the company's discretion and are not guaranteed. Bonuses may vary based on individual, department, and overall company performance.
