Key Responsibilities
Corporate Governance
- Maintain corporate records for the company, including minutes, resolutions, and organizational documents.
- Coordinate board and committee meetings, including agenda preparation, materials distribution, and minute-taking.
- Ensure compliance with corporate governance policies and applicable laws and regulations.
Equity Support
- Collaborate with HR and finance teams to administer stock option grants, exercises, and related activities in Carta (or equivalent)
- Support equity-related diligence, 409A valuations, and investor reporting
- Maintain clean and audit-ready cap table records and support quarterly/annual equity reporting obligations
Transactional Support
- Assist with due diligence, document preparation, and closing processes for M&A, joint ventures, and other strategic transactions.
- Draft and review NDAs, vendor agreements, and other standard contracts.
- Coordinate with internal stakeholders and external counsel on deal execution.
Legal Operations
- Manage legal department tools and systems, including contract lifecycle management (CLM), entity management, and e-billing platforms.
- Develop and maintain legal department processes, templates, and knowledge management resources.
- Support budgeting, outside counsel engagement, and legal spend tracking.
Qualifications
- 10+ years of relevant experience, preferably with a corporate law firm or in-house in a start-up environment
- Strong understanding of private company governance, equity administration, and venture financings
- Experience with equity platforms (e.g., Shareworks, Carta), CLM systems, and entity management tools (e.g., Diligent Entities).
