Role Description

The Paralegal is a key member of the legal team, responsible for providing comprehensive legal support across all phases of renewable energy project development, including corporate entity management, project documentation, regulatory compliance, and project finance closings.

Key Responsibilities

  1. Document Management System Administration and Document Control


• Maintain centralized document management systems (DMS) for contracts, permits, and compliance records.


• Control document lifecycle from creation to archival, ensuring version accuracy and audit readiness.


• Collaborate with operations, finance, and development teams to ensure documentation alignment.


• Assist in population of data rooms for financing or other M&A related activities as requested.

  1. Corporate Governance & Entity Management


• Uphold confidentiality and data protection standards across all document workflows.


• Support formation, maintenance, and compliance of corporate entities.


• Prepare and file entity annual reports and assist with other regulatory filings, as applicable.


• Support internal audits and external reviews by ensuring timely access to required documentation.


• Maintain corporate records, minute books, and ownership charts in CSC Navigator.


• Coordinate with Finance and Accounting for entity reporting.


• Register and track incoming/outgoing transmittals, including legal notices and regulatory filings.

  1. Transactional Support


• Assist with preparation of NDAs, engagement letters, and other routine legal documents.


• Support negotiations of Contracts and ensure use of approved templates.


• Due Diligence: Manage the virtual data room and coordinate the collection, organization, and production of legal documents for financing (debt and tax equity) and M&A transactions.


• Closing Support: Assist attorneys with transactional closings, including managing closing checklists and collecting and reviewing signature pages.

  1. Workflow and Process Support


• Assist Legal and Compliance Manager with tracking and managing contracts, obligations, and legal documents.

Support tracking of legal spending.

Required Qualifications


• Education: Bachelor's degree or equivalent, or a Paralegal Certificate from an ABA-approved program.


• Experience: Minimum of 3 years of paralegal experience, with preference for experience in real estate, corporate finance, or project development within the energy, construction, or utility sectors.


• Industry Knowledge: Demonstrated understanding of key project documents in the renewable energy industry (e.g., land leases, PPAs, EPC contracts).


• Technical Skills: Proficiency in Microsoft Office Suite (Word, advanced Excel skills preferred for tracking) and experience with a corporate entity management system and/or virtual data room (VDR) platforms.
