- Develop and execute corporate legal strategy aligned with Gigamon's business objectives.
- Oversee the delivery of legal services and resources to support corporate goals, strategies, and priorities.
- Structure, draft, and negotiate a wide range of commercial agreements.
- Lead and mentor the legal team, directing day-to-day activities and professional development.
- Support corporate M&A activities, including due diligence and post-transaction integration.
- Advise the CEO, CFO, COO, senior executives, and board of directors on legal and corporate governance matters.
- Ensure compliance with local, state, federal, and international laws and regulations, including data privacy and GDPR.
- Manage legal compliance functions and implement standards of business and ethical conduct.
- Oversee interactions with governmental bodies, regulators, and external stakeholders.
- Manage the legal department budget, review and approve outside counsel costs, and determine legal reserves.
- Private equity experience and background working with hardware/software and SaaS companies
- Practicing attorney with a combination of in-house and law firm experience.
- Demonstrated expertise in corporate law, including Delaware corporate law, commercial contracts, M&A, and regulatory compliance.
- Experience advising executive leadership and boards on legal, governance, and risk management matters.
- In-depth knowledge of antitrust, employment law, contract law, intellectual property, data privacy, and data security.
- Juris Doctor (JD) degree and active license to practice law in an applicable U.S. state.
- Experience working in a Private Equity–backed environment, including collaboration with investors and portfolio management teams.
- Strategic leader with excellent management and mentoring skills.
- Collaborative team player who works effectively with internal and external stakeholders.
- High integrity, sound judgment, and strong organizational skills.
- Able to manage multiple complex projects under tight deadlines.
- Flexible, adaptable, and committed to upholding Gigamon's standards of business and ethical conduct.
