Roles and Responsibilities:

  • Advise on executive compensation and employee benefits matters in connection with M&A, IPOs, SPACs, private equity transactions, and corporate governance
  • Draft, review, and negotiate compensation arrangements, including employment, equity, incentive, severance, and change-in-control agreements
  • Provide guidance on tax and securities law issues (Sections 409A, 162(m), 280G, ERISA, SEC disclosure rules)
  • Conduct due diligence and support deal teams in structuring compensation components of transactions
  • Counsel employers and boards on compensation strategy, compliance, and disclosure
  • Collaborate closely with corporate, tax, and employment teams across the firm
  • Stay current on evolving regulations impacting executive compensation

Job Requirements:

  • JD from an accredited law school
  • Senior Associate (Class of 2020–2016) or Counsel-level experience
  • Significant experience in executive compensation & benefits in a major law firm
  • Strong experience with comp/benefits matters in a transactional context
  • Exceptional academic credentials
  • Strong drafting, analytical, and advisory skills
  • Ability to manage complex matters independently
  • (Class 2020–2016)
  • Experience advising on public company governance or disclosure – preferred
  • Background with private equity portfolio company comp structures – preferred
  • Exposure to cross-border compensation issues – preferred

Job Type: Full-time

Pay: $365, $455,000.00 per year
