The Opportunity
We are seeking a highly skilled
Securities Lawyer
to join our legal team in the US. This role will be central to ensuring XBP Global remains fully compliant with US securities laws, SEC regulations, and corporate governance requirements. Reporting to the General Counsel, you will serve as a key advisor to the CEO, CFO, and Board, guiding the company through complex disclosure obligations, securities transactions, and investor communications.
This is not a back-office legal role, it's a front-line partnership with leadership, shaping how a listed global technology company engages with regulators, investors, and the market.
What You'll Do
- SEC & Regulatory Compliance: Oversee preparation, review, and filing of all SEC reports (10-K, 10-Q, 8-K, proxy statements), ensuring accuracy and timeliness.
- Director Filings: Manage and provide guidance on Section 16 reporting for directors and officers, including Forms 3, 4, and 5.
- Corporate Governance: Advise the Board and senior executives on governance best practices; maintain and update corporate policies and charters.
- Capital Markets & Transactions: Support equity/debt offerings, M&A activities, and related due diligence; provide securities law advice on financing strategies.
- Board Matters: Support the General Counsel in preparing for Board of Directors and Committee meetings, including drafting agendas, resolutions, and meeting minutes.
- Disclosure & Risk Management: Oversee compliance with Nasdaq listing standards and counsel on disclosure obligations, investor communications, and insider trading policies.
- Executive Compensation: Oversee and manage the legal aspects of the company's equity-based compensation plans and executive compensation matters.
- Cross-Functional Advisory: Partner with Finance, Treasury, HR and Compliance teams to align legal strategy with business goals.
- Strategic Initiatives: Performing additional duties and special projects as assigned
What We're Looking For
- Education: Juris Doctor (J.D.) degree from an accredited law school.
- License: Active license in good standing with the bar in at least one U.S. state.
- Experience:
Requires 7+ years of relevant legal experience, with a combination of law firm and in-house public company experience strongly preferred.
Demonstrated expertise in U.S. securities law, corporate governance, and corporate transactions (M&A, financing).
Extensive experience drafting and reviewing SEC filings is a must.
- Exceptional legal judgment, analytical skills, and attention to detail.
- Outstanding written and verbal communication skills, with the ability to translate complex legal issues for non-legal business stakeholders.
- Strong organizational skills and the ability to manage multiple projects and competing deadlines in a fast-paced environment.
- High degree of professionalism, integrity, and ethical standards.
- Ability to work both independently and collaboratively with cross-functional teams.

- Zero material compliance issues with SEC or governance requirements.
- Timely and accurate filing of all disclosure documents.
- Positive feedback from the Board and Committees on governance support.
- Strong alignment of legal advice with business strategy and investor confidence.
