Job Overview
The General Counsel will serve as legal advisor to the organization and provide practical, business-oriented legal advice to support CRC's commercial, operational and financial success. The General Counsel will work closely, across all functional areas (as needed), to ensure any risks associated with legal matters are properly assessed and mitigated as appropriate. The General Counsel will demonstrate a strong command of contract, transaction/commercial law and experience discussing complex legal issues in a manner which can be understood by non-legal personnel. The General Counsel plays a critical role in safeguarding the company's interests.
Responsibilities
- Review, draft, and negotiate a high volume of commercial agreements, including sales agreements, pre-sales agreements (MSA, CDA) vendor agreements, and procurement contracts
- Advise various business and/or corporate teams on legal issuse and risks, complex agreement structures, approval processes, company policies and procedures and business strategy
- Assist on a variety of dispute resolution(s) and matters
- Support audits and inspections by regulatory authorities and sponsors
- Interface with and manage outside counsel effectively, overseeing external legal engagements / matters while ensuring cost-efficiency and high-quality services
- Support the continuous improvement and updating of standard form agreements, legal processes and compliance practices
- Support the development of internal policies and procedures
- Manage and successfully complete additional projects or legal matters as assigned by senior leadership
Qualifications
- Juris doctor (JD) degree from an accredited law school, and must be an attorney with active membership in good standing with a state bar
- 5+ years experience managing commercial agreements, preferably in the CRO industry, but certainly in the Life Sciences industry
- Strong knowledge of clinical research regulations, healthcare law and data privacy requirements
- Demonstrated ability to establish relationships with stakeholders across a multitude of disciplines
- Must be comfortable managing a high volume of projects from multiple sources simultaneously
- Demonstrated excellence with interpersonal, written, and verbal communication skills, with the ability to articulate complex legal concepts clearly and concisely to non-legal stakeholders
- Comfortable with a "hands-on" approach, demonstrating the ability to balance multiple, competing priorities and adapt to changes in scope or direction with a high sense of urgency
- Strong work ethic, meticulous attention to detail, and a commitment to producing high-quality work
- Strong negotiation and conflict resolution skills
- Proven ability to understand complex legal topics and explain them in clear and concise terms to a diverse audience
- Excellent leadership and team building skills
Pay: From $150,000.00 per year
