Description
Duos Technologies, Inc. is seeking a Senior Contracts Administrator to provide advanced contract and administrative support to the Legal Department, ensuring efficient management of contractual matters, compliance, and documentation. This role is responsible for independently handling complex contract assignments, supporting corporate governance, contract management, and regulatory compliance activities.
Duties and Responsibilities-
Draft, review, analyze, and manage a wide range of contractual documents, including commercial agreements, NDAs, vendor agreements, purchase/service contracts, insurance documents, and compliance-related filings.

Assist in the administration and oversight of corporate governance functions, including maintenance of legal entity records, preparation and organization of board and shareholder meeting materials, coordination of vendor and third-party contracts, management and renewal of corporate insurance policies, and preparation, filing, and maintenance of statutory and regulatory documents in accordance with applicable laws and company policies.

Support due diligence, contract-related documentation, and process coordination for mergers, acquisitions, and other corporate initiatives.

Liaise with internal stakeholders, vendors, customers, and external counsel to coordinate and manage contract negotiations, reviews, and ongoing legal projects.

Maintain strict confidentiality of all legal and sensitive company information.

Contribute to continuous process improvement initiatives within the Legal Department, including streamlining contract processes, developing templates, and updating policies.

Assist with document requests and other contract-related activities connected to disputes, claims, or litigation support.
- Experience with corporate governance, entity compliance and filings, maintenance of corporate records and drafting minutes and other board actions
- Excellent organizational and time management skills
- Ability to work collaboratively across the organization
- Experience in customer interactions a plus
- Strong understanding of corporate governance, contract law, and regulatory compliance.
- Excellent drafting, organizational, and analytical skills.
- High attention to detail and ability to manage multiple priorities under tight deadlines.
- Strong communication and interpersonal skills for working with executives, attorneys, and cross-functional teams.
- Proficiency in Microsoft Office Suite and legal management software (e.g., HighQ, DocuSign, or CLM tools).
Education and Experience
- BA Degree
- Minimum of 7-10 years of experience as a contract's administrator, or corporate paralegal
- 5 years in-house contract management or legal department with deep experience in B2B contracts administration (required)
