Overview:

We are seeking a highly skilled and detail-oriented Paralegal/Legal Assistant to join our in-house Legal department. The ideal candidate will bring a strong background in a corporate and commercial legal group. Exceptional organizational skills, and a proven ability to manage sensitive information with the utmost confidentiality. This role is critical in supporting our Legal team, collaborating with external partners, and ensuring smooth execution of corporate transactions and contract management.

Qualifications:

  • A minimum of five years legal experience as a Corporate Law Clerk/Paralegal/Legal Assistant in the Province of Alberta;
  • Demonstrated initiative and capacity to work proactively and independently, as well as in a team environment;
  • Excellent organizational skills and the ability to redefine priorities when necessary;
  • Strong attention to detail, with the ability to analyze legal documents for accuracy;
  • Ability to work efficiently and effectively with technology;
  • Curiosity of corporate law and ability and willingness to continuously learn and develop new skills;
  • Strong time management skills, ability to meet deadlines, proven effectiveness in delivering fast and accurate client service;
  • Ability to communicate effectively with colleagues and customers, verbally and in writing, in a professional and courteous manner;
  • Legal assistant diploma or certificate
  • Extensive knowledge of corporate governance, records management, and Alberta Corporate Registry practices
  • Leadership experience or strong aptitude for team coordination
  • Excellent written and verbal communication skills
  • Strong organizational abilities, accuracy, and attention to detail
  • Ability to work collaboratively in a team-focused environment and manage competing priorities

Key Responsibilities:

  • Perform corporate and due diligence searches as required
  • Prepare and file corporate documents with Alberta Corporate, Corporations Canada, and various provincial registries
  • Incorporate and organize Alberta and Federal corporations, societies, and not-for-profit entities, as well as extra-provincial registrations
  • Prepare and register documents for amalgamations, continuances, reorganizations, amendments, dissolutions, and revivals
  • Oversee preparation and filing of Annual Returns
  • Prepare dividend resolutions and documentation related to share transactions (redemptions, transfers, etc.), and changes to directors/officers
  • Prepare and register documents related to trade names, partnerships, limited partnerships, and related amendments
  • Assist lawyers with corporate transactions, including reorganizations, shareholder agreements, and due diligence for mergers and acquisitions
  • Conduct minute book reviews and ensure records are current and complete
  • Maintain high accuracy and attention to detail in all corporate filings
  • Communicate professionally with colleagues
  • Identify and recommend improvements to enhance departmental efficiency
  • Perform administrative duties as required to support team operations
  • Independently complete a minute book review of various entity types (corporation, not-for-profit, LLPs) in electronic format;
  • Identify corporate data issues to ensure that the minute book and other corporate records are complete in the electronic database;
  • Exercising discretion and judgement when reviewing and organizing documents and materials within iManage;
  • Ensuring the currency and integrity of the corporate materials saved in iManage.
