Position Summary The Corporate Attorney is responsible for providing comprehensive legal support to the organization with a primary focus on corporate documentation, commercial transactions, and litigation management. This role supports the company's manufacturing operations by ensuring legal compliance, minimizing risk exposure, and protecting the organization's interests in disputes and regulatory matters. The position requires close collaboration with cross-functional teams, including Operations, Procurement, Supply Chain, Human Resources, and Executive Leadership.
Key Responsibilities and Duties Corporate and Commercial Legal Support Draft, review, and negotiate a broad range of legal documents, including supplier agreements, purchase and sale agreements, distribution agreements, service contracts, confidentiality agreements, and licensing arrangements Provide legal guidance on contract interpretation, performance issues, and dispute avoidance strategies Maintain and improve standard contract templates and legal processes to enhance efficiency and consistency Corporate Governance Support corporate governance activities, including preparation and review of board materials, resolutions, bylaws, and corporate records Ensure compliance with corporate policies and applicable laws and regulations Assist with entity management, including formation, maintenance, and regulatory filings Litigation and Dispute Management Will not directly represent, but will work with outside council to assist in all phases of litigation, including case assessment, strategy development, discovery, motion practice, and resolution Coordinate and oversee outside counsel to ensure effective representation and cost control Handle a range of disputes, including commercial litigation, contract disputes, product liability claims, employment-related matters, and vendor/supplier conflicts Regulatory Compliance and Risk Management Advice on compliance with federal, state, and local regulations impacting manufacturing operations, including environmental, health, and safety (EHS), OSHA, and product safety requirements Monitor changes in relevant laws and regulations and provide guidance on implementation Identify, assess, and mitigate legal risks associated with manufacturing processes, supply chain operations, and business initiatives Operational and Cross-Functional Support Partner with internal stakeholders to provide proactive, business-oriented legal advice Support procurement and supply chain teams by reviewing documentation and contracts related to the negotiation and management of vendor relationships Collaborate with HR on employment-related legal matters, policies, and disputes Assist in internal investigations and compliance reviews Strategic Transactions Support mergers, acquisitions, divestitures, and other strategic initiatives Conduct legal due diligence and assist with transaction structuring and documentation Provide post-transaction integration support from a legal and compliance perspective
Qualifications Education and Licensing Juris Doctor (JD) from an accredited law school Active license to practice law in Texas, in good standing Experience Minimum of 5-8 years of relevant legal experience in corporate law and litigation Experience in manufacturing, industrial, or supply chain-focused environments strongly preferred Demonstrated experience managing litigation matters and working with outside counsel Knowledge and Skills Strong knowledge of commercial contracts, corporate governance, and civil litigation procedures Familiarity with manufacturing-related regulations, including EHS, OSHA, and product liability frameworks Excellent drafting, negotiation, and legal analysis skills Strong business acumen and ability to provide practical, solution-oriented advice Ability to manage multiple priorities and deadlines in a fast-paced environment Strong interpersonal and communication skills, with the ability to influence stakeholders at all levels
