Position Overview
The M&A Tax Manager will play a key role in supporting merger, acquisition, and restructuring activities by providing technical U.S. federal tax expertise. This position partners closely with tax, legal, and business stakeholders to analyze transaction structures, perform due diligence, and support both taxable and non-taxable reorganizations.
Qualifications
- Bachelor's degree in Accounting or a related field
- Master's degree in Taxation preferred
- CPA preferred; JD a plus
- Minimum of 8 years of combined U.S. M&A tax and federal tax experience
- Strong technical background in U.S. federal tax, with an emphasis on Subchapter C
- Experience with reorganization provisions and consolidated return regulations preferred
- Background in a large public accounting firm and/or a large multinational organization
Key Responsibilities
- Support M&A tax due diligence, including review of target company financial statements and tax return data
- Perform scenario modeling related to acquisition structures and internal restructuring alternatives
- Conduct IRC Section 382 analyses, including calculation of limitation amounts for acquired loss companies
- Analyze and quantify tax implications of asset versus stock acquisitions
- Calculate inside and outside basis for subsidiaries and partnerships in connection with taxable and non-taxable reorganizations
- Collaborate with legal teams and business partners on external acquisitions and internal restructurings
- Perform due diligence and related calculations for:
- IRC Section 332 liquidations
- IRC Section 351 tax-free contributions
- Determine required income tax disclosures for completed transactions
- Manage projects from initiation through timely and successful completion
- Assist with the review of federal income tax returns
- Support tax research efforts and prepare written memoranda summarizing conclusions
- Participate in special projects as assigned by senior tax leadership
- Comfortable working cross-functionally with professionals at all levels, including senior leadership
- Hands-on mindset with the ability to balance detailed execution and strategic thinking
- Willingness to engage in ad hoc planning projects and manage tax matters directly or through external advisors
- Strong organizational skills with the ability to manage multiple concurrent projects
- Ability to adapt quickly to shifting priorities and tight deadlines
- Thrives in a collaborative, team-oriented environment
- Advanced proficiency in Microsoft Excel
