Procurement Manager - MSA Negotiation (12-month contract)
$60 - $80 per hour
Hybrid (3-4 days per week in office, downtown Toronto)
Our client, a leading Canadian financial institution, is recruiting for a Procurement Manager. This is a high-impact role focused on the review and execution of high-value agreements within the Procurement function.
This position is focused on the review and negotiation of Master Service Agreements (MSAs) rather than traditional sourcing. You will be responsible for taking contracts (either on the client's own paper or a supplier's) from initial redline to final signature. This role is ideal for a deal closer who can ensure compliance with legal standards along with commercial objectives.
Key Responsibilities:
- Perform rigorous reviews of MSAs and SOWs. You must be equally comfortable protecting the bank’s interests on internal templates as you are marking up complex supplier paper to meet minimum standards.
- Manage the end-to-end execution pipeline by identifying sticking points in negotiations and finding creative commercial or legal workarounds to get the deal across the finish line.
- Act as the central hub between Legal, Cyber Security, Privacy, and Risk. Ensuring there is alignment to maintain momentum.
- Beyond the legal "legalese," ensure that commercial terms (pricing, indexing, termination for convenience, and service credits) are optimized and reflect the business’s intent.
- Demonstrate high proficiency in analyzing third-party terms, identifying hidden risks in supplier-friendly clauses, and negotiating them back to a position of bank-level safety.
About You
- Fluency in legal-commercial language; you can negotiate Indemnities, Limitations of Liability, and Data Privacy clauses without needing a lawyer to hold your hand.
- 5+ years of experience in a Procurement, Legal Counsel (Commercial), or Vendor Management role.
- Proven track record of managing a high volume of concurrent contract negotiations.
- Excellent communication skills, with the ability to summarize complex risks for Business Heads in plain English and push back on internal or external stakeholders when necessary.
- University degree in Law (an asset but not a requirement).
