Position Overview
We are seeking a detail-oriented and experienced Paralegal to join our Legal Department. This role provides critical support across a range of legal functions including contract management, corporate governance, legal research, and administrative operations. The ideal candidate will demonstrate autonomy, precision, and a strong grasp of legal documentation and compliance standards.
Key Responsibilities
- Review, draft, and negotiate Non-Disclosure Agreements (NDAs) and standard contractual terms independently.
- Manage corporate governance tasks such as preparing and filing annual reports, and drafting board and shareholder meeting minutes.
- Draft routine legal documents including contracts, affidavits, resolutions, policies, and procedures.
- Conduct legal research and analysis of statutes, regulations, case law, and other authoritative sources.
- Maintain and organize legal files, databases, and contract management systems.
- Oversee intellectual property portfolio in coordination with external counsel.
- Ensure proper storage, retrieval, and disposal of legal department files in accordance with record retention policies.
- Provide litigation support and assist with transactional matters.
- Track and report time spent on specific legal matters.
- Perform general administrative duties and support additional departmental needs as required.
Required Skills & Competencies
- Exceptional written and verbal communication skills.
- Strong understanding of contract negotiation principles and legal terminology.
- Proficient in legal research methodologies and court procedures.
- High attention to detail with excellent organizational and recordkeeping capabilities.
- Effective time management and ability to meet deadlines in a fast-paced environment.
- Strong analytical and problem-solving skills.
- Ability to handle confidential information with discretion and sound judgment.
- Proficiency in Microsoft Office Suite and related legal software tools.
Education & Experience
- Minimum 5 years of progressive experience in a corporate legal department, preferably within government contracting or defense sectors.
- Associate or Bachelor's degree in Paralegal Studies or a related discipline preferred.
Physical Requirements
- Ability to remain seated and work at a computer for extended periods.
Must be able to lift up to 15 pounds occasionally.
