The firm is looking for an experienced senior associate or counsel to join our expanding securities group. This is an opportunity to join a sophisticated and entrepreneurial practice in a collegial and supportive environment. Candidates should have at least six years of in-depth experience in the following areas:
- Public company rules and regulations (the Securities Act of 1933, the Securities Exchange Act of 1934)
- Public and private offerings of securities
- Knowledge of national securities exchange listing rules
- Reporting on Forms 10-K, 10-Q and 8-K
- Proxy statements for annual and special shareholder meetings
- Section 16 Reporting (Forms 3, 4 and 5)
- General corporate and corporate governance experience (e.g., drafting board resolutions, policies, press release, etc.)
- Broker-dealer, FINRA, investment adviser, or fund formation experience is a plus
