I. Job Summary
The General Counsel is the company's highest-ranking legal officer, responsible for all aspects of the company's legal compliance, risk control, and governance support. They provide strategic legal advice to the Board of Directors and management, ensuring the company's legal, compliant, and stable development in areas such as operations, investments, mergers and acquisitions, compliance, and dispute resolution.
II. Key Responsibilities
- Corporate Governance and Strategic Legal Support
Provide legal advice and decision-making support to the Board of Directors, management, and core business.
Participate in legal argumentation for major corporate strategies, operational decisions, and capital operations.
Assist in improving the company's governance structure, authorization system, and internal control system.
Review and standardize the company's articles of association, rules of procedure, and management system.
- Contract Management and Business Support
Manage the company's contract system uniformly, and develop contract templates and approval processes.
Review, draft, and negotiate major or complex commercial contracts.
Control contract legal risks and protect the company's commercial interests.
Guide business departments to conduct compliant and effective contract performance management.
- Compliance and Risk Management
Establish and improve the company's compliance management system and risk prevention and control mechanism.
Supervise the company's compliance with relevant laws, regulations, and regulatory requirements.
Conduct compliance reviews, compliance training, and internal compliance consulting.
Identify, assess, and address legal risks in the company's operations.
- Investment, Mergers & Acquisitions, and Capital Operation Support
Provide legal support for investment and financing, mergers and acquisitions, restructuring, and joint venture projects.
Participate in due diligence. Diligence
Design transaction structures and review transaction documents
Manage legal risks and compliance issues during the transaction process
- Dispute Resolution and Litigation Management
Unify the management of the company's litigation, arbitration, and dispute cases
Develop dispute resolution strategies and coordinate with external law firms
Control litigation costs and reduce adverse legal impacts
Summarize case experience and improve risk prevention mechanisms
- Intellectual Property and Data Compliance (if applicable)
Oversee the company's intellectual property strategy (trademarks, patents, copyrights, etc.)
Handle infringement, rights protection, and licensing matters
Guide data protection, privacy compliance, and information security related legal matters
- Legal Team and External Resource Management
Responsible for the construction, management, and training of the company's legal team
Develop the legal department's annual work plan and budget
Manage external law firms, consulting agencies, and legal resources
Improve the efficiency and professional level of legal services
III. Qualifications
Educational Background
Bachelor of Law or above, Master's degree or overseas legal background preferred
Professional Qualifications
Hold a legal professional qualification certificate (China: Legal Professional Qualification Certificate / Lawyer's License
Priority will be given to candidates with overseas practice qualifications (if they have extensive experience in international business).
Work Experience
Over 10 years of legal-related work experience
Over 5 years of legal management experience in large enterprises or groups
Priority will be given to candidates with experience in listed companies, mergers and acquisitions, or cross-border business.
