Our client, a leading international financial services organisation, is seeking a Company Secretary/Corporate Governance Assistant to support its Corporate Governance function in Ireland. This role offers an excellent opportunity to work within a highly regulated environment, supporting subsidiary boards and committees while ensuring compliance with legal, regulatory, and governance best practice requirements in a team of four people. The client is based in Dublin City Centre and operates a hybrid working arrangement of 2 days per week in the office. Key Responsibilities Provide day-to-day company secretarial support to Irish subsidiary entities Support the organisation and administration of board and committee meetings, including: Drafting agendas Coordinating meeting papers Managing action logs and follow-ups Draft and circulate board and committee written resolutions and execute documentation Prepare board and committee memoranda and governance documentation Maintain accurate legal entity records, governance registers, board training plans, and policy schedules Maintain legal documentation including authorised signatory lists and powers of attorney Assist in maintaining governance policies, procedures, and internal controls Respond to ad hoc governance queries from internal stakeholders, auditors, and board members Support internal audits and regulatory inspections by providing required documentation Collaborate closely with the wider governance team to provide operational support Assist with governance-related projects and additional responsibilities as required Candidate Requirements Degree qualified with a strong academic background Chartered Governance Institute / ICSA UK & Ireland qualification preferred 3-5 years' company secretarial or corporate governance experience preferred Financial services or regulated industry experience advantageous Strong interpersonal and stakeholder management skills Ability to work effectively with senior management and board members Excellent organisational skills with strong attention to detail Strong written and verbal communication skills Ability to handle confidential information with discretion Self-motivated, flexible, and capable of prioritising workload effectively Strong analytical and research skills Proficient in Microsoft Office applications including Outlook, Word, Excel, and PowerPoint Experience with Diligent and GEMS systems would be beneficial Skills: Company Secretary Corporate Governance Chartered Secretary
