About
- Providing legal advice and transaction expertise in relation to a variety of projects within the scope of CDEV's mandate.
- Advising on structured financing, loans, loan guarantees, equity investments, M&A and divestitures.
- Advising on Indigenous economic participation.
- Negotiating agreements, instructing external legal counsel on transaction documents.
- Assisting with legal aspects in relation to portfolio management and monitoring.
- Playing a key role in any restructurings, to the extent necessary.
- Anticipating, identifying and assisting in managing legal risks.
- Planning, developing and executing on a variety of complex mandates and innovative projects.
- Generally assisting on legal matters as they arise.
- Liaising with subsidiaries and building relationships with internal and external stakeholders.
- Representing CDEV in external meetings as required.
- Working on special projects with the Executive Leadership Team, as required.
Key Skills and Attributes Education
- Bachelor of Laws (LL.B) or Juris Doctor (JD) from a recognized Canadian law school (or equivalent international qualification recognized in Canada).
- Membership in good standing with a provincial or territorial law society and entitled to practice law in Canada.
- Successful completion of bar admission requirements (including articling or law practice program)
- Additional education or certification in areas such as corporate governance, public administration, or finance is considered an asset.
- Minimum of 5 years of relevant experience leading complex transactions
- Strong understanding of corporate/commercial and securities law.
- Experience with
- Debt and equity financings
- Mergers and acquisitions (M&A)
- Capital markets and corporate finance
- Indigenous equity participation
- Sector exposure considered an asset:
- Natural resources
- Energy
- Infrastructure
- Telecommunications
- Demonstrated business acumen and sound commercial judgment
