The Senior Legal Counsel will serve as a key legal partner, with an emphasis on the solar development platform. Responsibilities include leading and supporting complex development, acquisition, and financing transactions; managing routine legal matters such as NDAs, vendor and service agreements, and corporate governance; advising management on legal risk and strategy; overseeing disputes; and managing relationships with external counsel.


This role requires a forward-thinking legal leader who combines strategic vision with sound judgment, strong business acumen, and the ability to guide complex decisions in a dynamic, regulated environment.


Key Responsibilities

  • Provide expert legal counsel to executive leadership and the Board of Directors on complex corporate, regulatory, and operational matters. Anticipate risks and develop practical, solutions-oriented strategies to enable sustainable business growth.
  • Oversee governance frameworks and Board processes, ensuring accurate records, policy compliance, and best practices in corporate accountability and transparency.
  • Ensure full adherence to all applicable laws, regulations, and industry standards. Maintain open and proactive communication with regulators and advise leadership on emerging legal or compliance developments.
  • Lead or support strategic transactions including mergers, acquisitions, joint ventures, and financing activities. Draft, negotiate, and review commercial, corporate, and vendor agreements to protect company interests and mitigate risk exposure.
  • Direct the organization’s litigation and dispute resolution strategy, manage outside counsel, and drive cost-effective outcomes aligned with business objectives.
  • Collaborate cross-functionally with executive and operational teams to align legal priorities with business goals, ensuring legal considerations are integrated into key strategic decisions.


Qualifications & Experience

  • Education: Juris Doctor (JD) or equivalent law degree. Member in good standing of the Ontario Bar.
  • Experience: Minimum 7+ years of progressive legal experience in corporate, commercial, and/or regulatory law, ideally within an in-house counsel role in a regulated industry.
  • Demonstrated success advising senior management on complex legal, compliance, and strategic business issues.
  • Proven experience leading legal teams and managing external counsel.
  • Strong negotiation, communication, and leadership skills, with the ability to balance strategic insight and operational execution.
  • Deep understanding of corporate governance, risk management, and compliance frameworks.


Preferred Experience:

  • Background in the energy sector or a related regulated industry.
  • Experience with M&A and strategic transactions in the energy or infrastructure space.
  • Familiarity with commercial contracts and regulatory structures specific to the energy or power markets.
